Helpore Partner Terms

These terms apply when your business introduces households to Helpore through your partner link. They say who can be a partner, what you tell your client first, and when Helpore pays you CHF 50.00.

1. Parties and nature

1.1 This agreement is between Helpore AG, registered in the commercial register of the Canton of Zurich (Helpore), and you, the business that introduces households to Helpore (the partner). It is a brokerage agreement under Art. 412 CO.

1.2 You introduce households to Helpore Admin and Helpore Admin Light. These are administration services. The household is the employer of its Helper, and Helpore administers in the household's name (Terms of Service, clause 4). You introduce a household to an administration service, never to a worker.

1.3 You act as an independent business. This agreement creates no employment, no agency, no simple partnership and no joint venture between you and Helpore.

2. Definitions

2.1 Partner link: the link that carries your partner code. Helpore issues one code per partner. You cannot change it.

2.2 Household: a household that registers with Helpore through your partner link.

2.3 Helpore Admin and Helpore Admin Light: the plans of that name described in the Terms of Service.

2.4 Paid month: a month of Helpore Admin or Helpore Admin Light fees that Helpore has received and has not refunded, credited or charged back. A free month is not a paid month.

2.5 Reward: CHF 50.00, paid on the conditions of clause 5.

2.6 Statement: the counts and amounts Helpore reports to you for a period.

3. Who can be a partner

3.1 You can be a partner if you are a business with a Swiss UID and your seat in Switzerland, entered in the commercial register or in a professional register. Accountants, fiduciaries, relocation agencies, employer HR programmes and other agencies Helpore admits can take part.

3.2 You name a contact person and hold a business bank account in Switzerland.

3.3 You receive one code. You use it only while it is active.

3.4 These cannot be partners under these terms: a Helper, who has separate rules; a household, for itself; Helpore staff and their households. Your own household never counts (clause 7).

4. You tell your client first

4.1 Before you hand over your link, you give your client the disclosure Helpore provides, in text form your client can keep. If you act for someone else, such as an employer that mandated you, you give it to them as well.

4.2 You obtain your client's agreement in text form, for example a reply to an email, a line in your engagement letter or a tick in your client portal.

4.3 You keep the disclosure and the agreement for as long as the law requires you to keep business records (Art. 958f CO). You show them to Helpore without delay when Helpore asks.

4.4 By accepting these terms and by handing over your link, you confirm this for every household you introduce.

4.5 The disclosure is a condition of the reward. Without it no reward is due, and a reward already paid is reclaimed (clause 7). The reason is Art. 400 para. 1 and Art. 415 CO, Art. 4a para. 2 UCA and Art. 322decies para. 1 lit. a SCC.

We have a partner agreement with Helpore. If you use Helpore Admin or Helpore Admin Light through our link, Helpore pays us CHF 50.00, once for your household, after you have paid 3 months of fees. Helpore pays this from its own fees: your price with Helpore is the same with or without our link, and our fees to you do not change. Helpore does not tell us your name. It tells us only how many households came through our link and what it paid us. By law we would have to hand this amount to you (Art. 400 para. 1 CO). If you agree, we may keep it. You remain free to choose any other provider.

I agree that you keep the CHF 50.00 that Helpore pays you after my household has paid 3 months of fees.

Give your client this text before you hand over your link, and in any case before your client registers. Use a form your client can keep, such as an email, your engagement letter or your client portal, and ask for your client's agreement in text form. If you act for someone else, give it to them as well.

5. The reward and when it is earned

5.1 Helpore pays you CHF 50.00 once a household introduced through your partner link has paid 3 months of Helpore Admin or Helpore Admin Light.

5.2 For a household that pays monthly, the reward is earned when Helpore has received the fee that completes its 3 paid months. For a household that pays yearly, it is earned when Helpore has received the yearly fee.

5.3 Months that are free, unpaid, refunded, credited or charged back are not paid months.

5.4 Nothing is earned on Helpore Flex, on the placement fee, on insurance premiums or on any wage, contribution or tax Helpore collects in the household's name.

5.5 The reward comes from Helpore's own fees and operating account. It never comes from a household's payments, from client funds or from a Helper's pay.

6. One reward per household

6.1 One household earns one reward, whatever the number of its subscriptions, employment relationships or plan changes.

6.2 A household counts for you when it registers through your partner link while your code is active, and it was not already registered with Helpore.

6.3 Your partner link takes precedence over any other signal, including a Helper's invitation. Where two partners claim one household, the link used at registration decides.

6.4 Helpore's attribution record decides. You receive no household data to dispute it (clause 12).

7. When no reward is due

7.1 No reward is due where: (a) the household ends Helpore Admin or Helpore Admin Light before Helpore has received the fee that completes its 3 paid months; (b) a counted fee is refunded, credited or charged back; (c) the disclosure of clause 4 is missing; (d) the household is your own, a Helpore staff household or an account you control; (e) the registration is fraudulent, duplicated or automated; (f) you have breached clause 11.

7.2 If a counted fee is refunded after payout, Helpore sets the amount off against your next reward or, if there is none, reclaims it from you.

7.3 Helpore may refuse or end any household's subscription on its own terms. That gives you no claim.

8. Payment and statements

8.1 Helpore pays earned rewards in its next payout batch after it has confirmed the paid months and that no counted fee was refunded or disputed.

8.2 Helpore pays by bank transfer in Swiss francs to your business account. There is no cash payment, no credit and no set off against a household's fees.

8.3 Each payment comes with a statement of counts and amounts per period. A statement never names a household.

8.4 No interest is due, there is no minimum amount, and Helpore reimburses no expenses (Art. 413 para. 3 CO).

9. Taxes

9.1 The reward is a gross amount. It includes any VAT you owe on it.

9.2 You alone bear your income tax, VAT and social contributions. The reward is not a wage, and Helpore issues no salary statement.

9.3 Helpore's statement serves as a credit note. It names your UID and, where you are registered for VAT, your VAT number (Art. 26 para. 2 VAT Act).

10. No exclusivity, no obligation

You may recommend other providers. Helpore works with other partners and channels. You owe no minimum number of introductions, and Helpore promises no minimum revenue.

11. You do not represent Helpore

11.1 You are not Helpore's agent and cannot bind Helpore. You promise no prices, outcomes, timing, licences or treatment by an authority, and you give no advice in Helpore's name.

11.2 You describe yourself only as “a Helpore partner”, in the wording Helpore provides. You use Helpore's name and marks only in that wording and in your link, never in paid advertising and never on misleading pages.

11.3 You never charge a household for the introduction itself (Art. 415 CO).

11.4 Your professional duties to your clients remain your own.

12. Data

12.1 Helpore gives you counts and amounts only. It never gives you a household's name, address, status, plan or payments.

12.2 You do not ask Helpore for household data, and you do not send Helpore your clients' data. Your link carries your partner code only; the household enters its own data with Helpore.

12.3 If few households came through your link, you may be able to tell from the counts that a client has paid. The disclosure of clause 4 tells your client that you receive counts and amounts and never a name. You keep what you infer to yourself, as you keep everything else you know about your client.

12.4 Helpore processes your business and contact data under its Privacy Policy. Your own duty to inform your clients (Art. 19 FADP) remains yours.

13. Changes

13.1 Helpore may change the reward, the trigger or these terms for the future, with notice to you in text form before the change applies.

13.2 The reward and conditions in force on the day a household registered through your link apply to that household. Rewards already earned are not affected.

14. Term and end

14.1 This agreement has no fixed term. Either side may end it at any time, in text form (Art. 404 para. 1 CO). Helpore deactivates your code on the end date.

14.2 Households that registered through your link before the end still earn their reward when the conditions of clause 5 are met.

14.3 Where clause 4 or clause 11 is breached, or on fraud, Helpore may end the agreement with immediate effect and void open rewards.

15. Liability

15.1 Helpore is not liable for your acts or omissions or for those of a household, except to the extent required by mandatory law or where caused by Helpore's gross negligence or wilful misconduct.

15.2 Nothing in these terms excludes or limits liability that cannot be excluded or limited under mandatory law.

15.3 Helpore does not guarantee that a household is accepted or that it stays.

16. Governing law and jurisdiction

These terms are governed by Swiss law. The courts of Zürich, Switzerland, have jurisdiction over disputes arising from or related to these terms (Art. 17 CPC), subject to mandatory law.

17. Acceptance and version

17.1 You accept these terms when you first use your partner link, or earlier when you accept them online. Helpore keeps the version in force on that day with your partner record.

17.2 A new version applies as set out in clause 13.

17.3 These terms are published in German, French, Italian, English, Spanish and Portuguese. All language versions have equal standing.
